SOTOMET offers two types of products: products <strong>with a C.C.P.U. or inspection certificate<\/strong> (new,<sup>first-grade<\/sup> quality) and products <strong>without a warranty or certificate<\/strong> (surplus, downgraded, or reused). <br><br>  SOTOMET does not have a design department. The buyer is solely responsible for determining and interpreting all the parameters that must be considered to ensure that the ordered equipment is suitable for its intended use. \n        <\/div>\n class=\"scgv-card-body\">\n          <p class=\"scgv-intro\">Orders and order changes are subject to<strong>SOTOMET's written acceptance<\/strong>.<\/p>\n        <\/div>\n      <\/div>\n\n      <!-- class=\"scgv-card-title\">Price<\/div>\n        <\/div>\n        <div class=\"scgv-card-body\">\n          <ul class=\"scgv-items\">\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">a<\/span><span>Unless otherwise specified, prices are in <strong>euros<\/strong>.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">b<\/span><span>Supplies are invoiced at the price stated in the SOTOMET quote, plus <strong>VAT at the rate in effect<\/strong> on the date the invoice is issued, except in cases where sales of goods intended for export are exempt from VAT.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">c<\/span><span>To qualify for this exemption, buyers based in France must provide <strong>proof of exemption<\/strong> before the goods are picked up or shipped.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">d<\/span><span>Sales by weight are documented by a <strong>weighing slip<\/strong> provided with the pickup or shipping slip.<\/span><\/li>\n          <\/ul>\n        <\/div>\n      <\/div>\n\n      <!-- ART. 3 -->\n      <div class=\"scgv-card scgv-reveal scgv-d1\" id=\"scgv-art3\">\n        <div class=\"scgv-card-header\">\n          <div class=\"scgv-num\">3<\/div>\n          <div class=\"scgv-card-title\">Delivery Time<\/div>\n        <\/div>\n        <div class=\"scgv-card-body\">\n          <p class=\"scgv-intro\">Delivery times are <strong>approximate<\/strong>.<\/p>\n          <div class=\"scgv-note\">Under no circumstances shall a delay in delivery justify a claim for damages or the cancellation of an order against SOTOMET.<\/div>\n        <\/div>\n      <\/div>\n\n      <!-- ART. 4 -->\n      <div class=\"scgv-card scgv-reveal scgv-d2\" id=\"scgv-art4\">\n        <div class=\"scgv-card-header\">\n          <div class=\"scgv-num\">4<\/div>\n          <div class=\"scgv-card-title\">Pickup of Goods<\/div>\n        <\/div>\n        <div class=\"scgv-card-body\">\n          <ul class=\"scgv-items\">\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">a<\/span><span>Loading of the trucks is the <strong>sole responsibility of the buyer<\/strong> or the carrier with whom the buyer has entered into a transportation contract.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">b<\/span><span>If, due to the buyer, the scheduled pickup date is postponed to the following month, SOTOMET will issue, based on the order, an invoice for <strong>\u201cgoods made available<\/strong>, <strong>\u201d<\/strong> as if the goods had been picked up, and this invoice must therefore be paid within the same time frame.<\/span><\/li>\n          <\/ul>\n        <\/div>\n      <\/div>\n\n      <!-- ART. 5 -->\n      <div class=\"scgv-card scgv-reveal scgv-d2\" id=\"scgv-art5\">\n        <div class=\"scgv-card-header\">\n          <div class=\"scgv-num\">5<\/div>\n          <div class=\"scgv-card-title\">Shipping of Goods<\/div>\n        <\/div>\n        <div class=\"scgv-card-body\">\n          <ul class=\"scgv-items\">\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">a<\/span><span>Goods are shipped at <strong>the buyer\u2019s risk<\/strong>, even those agreed upon as \u201cfree shipping.\u201d It is therefore the buyer\u2019s responsibility, in the event of damage or loss, to file all claims and pursue all remedies with the carrier in question.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">b<\/span><span>Unloading of trucks at the agreed-upon delivery location is <strong>the sole responsibility of the buyer,<\/strong> unless otherwise agreed in writing by SOTOMET.<\/span><\/li>\n          <\/ul>\n        <\/div>\n      <\/div>\n\n      <!-- ART. 6 -->\n      <div class=\"scgv-card scgv-reveal scgv-d2\" id=\"scgv-art6\">\n        <div class=\"scgv-card-header\">\n          <div class=\"scgv-num\">6<\/div>\n          <div class=\"scgv-card-title\">Payment<\/div>\n        <\/div>\n        <div class=\"scgv-card-body\">\n          <ul class=\"scgv-items\">\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">a<\/span><span>Invoices are payable within <strong>45 days of the end of the month<\/strong>, in accordance with Act LME 2008-776 of August 4, 2008, payable to SOTOMET.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">b<\/span><span>In the event of a delay, non-payment, or payment issue for any reason whatsoever regarding any of the invoices, SOTOMET reserves the right to <strong>suspend all deliveries<\/strong> until the amounts due are paid, or to require payment in advance for current and future orders.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">c<\/span><span>In the event of nonpayment or late payment, the buyer shall be liable for <strong>late payment interest at a rate equal to three times the statutory interest rate<\/strong>.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">d<\/span><span>In the event of the buyer\u2019s failure to comply with any of the provisions of these terms and conditions, as well as in the event of repeated late payments or nonpayment, SOTOMET reserves the right to <strong>terminate all business relations<\/strong> with the buyer. Any amounts owed shall become immediately due and payable.<\/span><\/li>\n          <\/ul>\n        <\/div>\n      <\/div>\n\n      <!-- ART. 7 -->\n      <div class=\"scgv-card scgv-reveal scgv-d3\" id=\"scgv-art7\">\n        <div class=\"scgv-card-header\">\n          <div class=\"scgv-num\">7<\/div>\n          <div class=\"scgv-card-title\">Quality and Returns<\/div>\n        <\/div>\n        <div class=\"scgv-card-body\">\n          <p class=\"scgv-intro\">The buyer always has the right to inspect the goods stored at the SOTOMET warehouse before they are picked up or shipped.<\/p>\n          <ul class=\"scgv-items\">\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">a<\/span><span>For products sold with a C.C.P.U. or inspection certificate: any claim regarding product quality must be submitted in writing no later than <strong>8 days after delivery<\/strong> and before any use or processing. If the claim is accepted by the manufacturing plant, SOTOMET\u2019s sole obligation will be to <strong>replace the goods found to be defective<\/strong>; the buyer may not claim any compensation.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">b<\/span><span>For products sold without a warranty or certificate: regardless of whether or not the buyer exercised their right to inspect the goods, <strong>no claims will be considered<\/strong> after the goods <strong>have<\/strong> been picked up or shipped.<\/span><\/li>\n          <\/ul>\n        <\/div>\n      <\/div>\n\n      <!-- ART. 8 -->\n      <div class=\"scgv-card scgv-reveal scgv-d3\" id=\"scgv-art8\">\n        <div class=\"scgv-card-header\">\n          <div class=\"scgv-num\">8<\/div>\n          <div class=\"scgv-card-title\">Retention of Title<\/div>\n        <\/div>\n        <div class=\"scgv-card-body\">\n          <ul class=\"scgv-items\">\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">a<\/span><span>SOTOMET retains title to the goods sold until <strong>full payment of the price<\/strong> and any related charges has been made. In the event of suspension of payments, the buyer is expressly prohibited from using, processing, or selling the goods for which the seller retains title. The seller may demand the return of all goods for which it has retained title.<\/span><\/li>\n            <li class=\"scgv-item\"><span class=\"scgv-item-key\">b<\/span><span>SOTOMET reserves the right to seek either the <strong>rescission of the sale<\/strong> or its <strong>specific performance<\/strong> in the event that the buyer fails to comply with the special terms of our sales
